Terms of Service

By accessing or using the services provided by EBITA.AI LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services. These terms apply to all visitors, users, and clients who access or use our services, including but not limited to web development, mobile application development, custom software engineering, AI/ML solutions, and consulting services.

EBITA.AI provides software development, design, and consulting services. The specific scope, deliverables, timeline, and compensation for each project will be defined in a separate Statement of Work (SOW) or project agreement between you and EBITA.AI. We reserve the right to refuse service to anyone for any reason at any time. We may modify, suspend, or discontinue any aspect of our services at any time without prior notice.

As a client, you agree to: - Provide accurate and complete information necessary for us to perform our services. - Respond to communications and requests for feedback in a timely manner. - Ensure you have the legal right to provide any content, materials, or data shared with us. - Not use our services for any unlawful purpose or in violation of any applicable laws or regulations. - Make payments in accordance with the agreed-upon schedule outlined in your project agreement.

All intellectual property rights in and to any work product, deliverables, source code, designs, and materials created by EBITA.AI during the course of providing services shall remain the sole and exclusive property of EBITA.AI LLC, unless a written agreement explicitly transferring ownership is executed prior to the commencement of work. The client is granted a non-exclusive, non-transferable license to use the delivered work for its intended business purpose upon full payment of all fees. This license does not constitute a transfer of ownership. Should the client wish to acquire full intellectual property rights and ownership of the deliverables, EBITA.AI may, at its sole discretion, offer the client the option to purchase such rights outright upon completion of the project. The terms, pricing, and scope of any such transfer shall be negotiated separately and documented in a written IP Transfer Agreement signed by both parties. EBITA.AI retains all rights to use general knowledge, skills, methodologies, and techniques acquired during the course of providing services. We also retain the right to showcase completed work in our portfolio and marketing materials unless a non-disclosure agreement (NDA) is in place. All pre-existing intellectual property, proprietary frameworks, libraries, and tools owned by EBITA.AI remain our exclusive property regardless of any IP transfer. Any open-source components used will be subject to their respective licenses.

Payment terms will be outlined in your individual project agreement or SOW. Unless otherwise agreed: - A deposit may be required before work begins. - Invoices are due within 14 days of issuance. - Late payments shall incur a fee of 1.5% per week on the outstanding balance. - We reserve the right to pause or suspend work on any project with overdue payments. All fees are exclusive of applicable taxes, which shall be the responsibility of the client.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, technical specifications, user data, and financial information. Confidentiality obligations survive the termination of any agreement between the parties for a period of two (2) years, unless otherwise specified in a separate NDA.

To the maximum extent permitted by applicable law, EBITA.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to these terms or our services. Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the total amount paid by you to EBITA.AI in the twelve (12) months preceding the claim.

EBITA.AI warrants that our services will be performed in a professional and workmanlike manner consistent with industry standards. We will make reasonable efforts to correct any defects in deliverables reported within 30 days of delivery. Except as expressly provided herein, our services are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Either party may terminate a project agreement with 30 days' written notice. Upon termination: - The client shall pay for all work completed up to the date of termination. - EBITA.AI will deliver all completed work and work-in-progress to the client. - Any pre-paid fees for unperformed work will be refunded on a pro-rata basis. We may terminate or suspend access to our services immediately, without prior notice, if you breach these terms.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Qatar, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration in Doha, Qatar.

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the updated terms. We encourage you to review these terms periodically. Material changes will be communicated via email to active clients.
